Acceptable Use Policy

1. Scope and Purpose

This Acceptable Use Policy ("Policy") sets forth the rules and guidelines governing the use of Nuworks Ltd trading as “BrokerCentral” services, platforms, and products (collectively, the "Services"). By accessing or using the Services, you acknowledge that you have read, understood, and agree to comply with this Policy, our Terms of Service, and all applicable laws and regulations.

Failure to adhere to this Policy may result in immediate suspension or termination of access to the Services, and may subject you to legal liability.

2. General Restrictions

You may not use the Services in any way that:

  • Disrupts, disables, or overburdens the Services, impairing their availability or accessibility for other users.
  • Attempts to bypass security measures implemented to protect the Services.
  • Accesses data, systems, or accounts you are not authorised to use within the Services.
  • Engages in deceptive, misleading, or fraudulent activity using the Services.
  • Violates any applicable laws, regulations, or contractual agreements.

3. Prohibited Activities

The following activities are strictly prohibited:

3.1 Illegal Activities

  • Engaging in fraud, phishing, or any activities that violate intellectual property laws (e.g., copyright infringement, trademark violations).
  • Conducting or facilitating illegal financial transactions, money laundering, or unlicensed financial services.

3.2 Harmful Content

  • Posting, distributing, or transmitting content that is obscene, defamatory, discriminatory, hateful, or that advocates violence.
  • Promoting self-harm, suicide, or extreme content that may endanger individuals.
  • Using AI-generated content to mislead, impersonate, or deceive others, including deepfakes, synthetic media, or AI-assisted fraud.

3.3 Child Exploitation

  • Creating, distributing, or promoting content that exploits or harms children.

3.4 Data Harvesting & Unsolicited Communications

  • Collecting, scraping, or harvesting personal data without explicit consent.
  • Sending spam, bulk advertisements, or unsolicited communications.

3.5 Malware & Security Violations

  • Uploading or transmitting viruses, malware, or harmful code.
  • Attempting to hack, disrupt, or interfere with the Services or other users’ accounts.

3.6 Impersonation & Deception

  • Falsely representing an identity, affiliation, or business to mislead others.
  • Using bots, automated scripts, or web crawlers unless explicitly authorised by BrokerCentral for legitimate business or research purposes. Unauthorised data scraping or mass extraction of data is strictly forbidden.

3.7 Gambling, Cryptocurrency & Fraudulent Schemes

  • Conducting or promoting gambling, pyramid schemes, multi-level marketing (MLM), or cryptocurrency offerings that are fraudulent or non-compliant with regulations.

4. Trade Compliance & Sanctions

BrokerCentral complies with UK, US, and EU trade regulations and strictly prohibits the use of its Services in sanctioned regions or by sanctioned individuals.

4.1 Restricted Regions

You may not access, use, export, re-export, transfer, or otherwise make available the Services in:

  • Cuba, Iran, North Korea, Syria, and the Crimea, Donetsk, and Luhansk regions of Ukraine, or any other jurisdiction subject to comprehensive sanctions.

4.2 Restricted Parties & Entities

By using the Services, you represent and warrant that:

  • You are not designated on any restricted party lists, including:
    • UK HM Treasury’s Sanctions List
    • US OFAC Specially Designated Nationals (SDN) List
    • EU Consolidated Sanctions List
  • You will not provide access to the Services to any sanctioned individual or entity.

Users must conduct due diligence when engaging in business activities through the Services to ensure compliance with applicable sanctions laws. BrokerCentral assumes no liability for unauthorised use by sanctioned individuals unless directly facilitated by BrokerCentral.

4.3 Enforcement & Termination

BrokerCentral reserves the right to immediately suspend or terminate any account that violates trade compliance regulations, without prior notice.

5. Prohibited Content

You may not use the Services to:

  • Upload or share content that infringes on third-party intellectual property, privacy, or confidentiality rights.
  • Distribute or promote pornographic or illicit materials.
  • Post content that violates local, national, or international laws.
  • Submit content that has been subject to legal proceedings or takedown requests.

6. Monitoring & Enforcement

BrokerCentral does not routinely monitor content, but reserves the right to:

  • Investigate suspected violations of this Policy.
  • Remove or restrict access to any content deemed unlawful or harmful.
  • Suspend or terminate user accounts for serious or repeated violations.
  • Report unlawful activities to law enforcement authorities.

7. User Responsibilities

You are responsible for ensuring that:

  • Your use of the Services complies with all applicable laws and this Policy.
  • Your actions do not harm the platform or other users.
  • You do not engage in security threats or data breaches affecting the platform.
  • In accordance with the Data Processing Addendum (DPA), you are responsible for any data breaches or misuse resulting from your actions.
  • You implement reasonable security measures to protect your account, including using strong passwords and enabling multi-factor authentication (MFA) where available.
  • You promptly report any suspected security incidents, unauthorised access, or breaches of this Policy to BrokerCentral. Failure to report known violations may result in account suspension or termination.

8. Data Privacy & Protection

You must comply with all data protection laws, including:

  • GDPR (General Data Protection Regulation)
  • UK Data Protection Act 2018
  • Other applicable privacy laws

You must not process or disclose personal data without proper legal justification, consent, or authorisation.

9. Policy Violations & Enforcement Actions

Violations of this Policy are categorised based on severity and may result in enforcement actions, including content removal, warnings, suspension, or termination of access.

9.1 Violation Categories

  • Critical Violations (Immediate Termination) – Actions that result in immediate termination of access, including but not limited to:
    • Hacking or unauthorised system intrusion
    • Fraud or identity theft
    • Child exploitation or abuse-related content
    • Violations of trade compliance laws
  • Major Violations (Suspension, Review, or Termination) – Actions that may result in service suspension, account review, or termination, including:
    • Repeated instances of spam or unsolicited communications
    • Security violations or deliberate circumvention of platform safeguards
    • Unauthorised access to data, systems, or accounts
  • Minor Violations (Warnings or Temporary Restrictions) – Actions that may result in a warning or temporary restriction, such as:
    • Sending excessive bulk messages that disrupt normal use
    • Accidental or first-time policy breaches without malicious intent

9.2 Enforcement Actions

Depending on the severity of the violation, the following enforcement measures may be applied:

  • Content Removal – Deletion of non-compliant or prohibited content.
  • Formal Warning – Notification of the violation with corrective guidance.
  • Temporary Suspension – Temporary restriction of access to the Services.
  • Permanent Termination – Revocation of access for severe or repeated breaches.

The Provider reserves the right to take appropriate action at its sole discretion based on the nature and impact of the violation.

10. Policy Updates

BrokerCentral reserves the right to update or modify this Policy at any time. Updates will be posted on our website, and continued use of the Services after such updates constitutes acceptance of the revised Policy.

11. Termination

We may terminate or suspend access to the Services at any time, with or without cause, for:

  • Violations of this Policy.
  • Compliance with legal obligations or law enforcement requests.
  • Security threats or fraudulent activity.

12. Compliance with Laws

You must comply with all applicable local, national, and international laws when using the Services, including:

  • Anti-spam laws
  • Data protection regulations
  • Intellectual property rights

13. Disclaimer

BrokerCentral is not responsible for user actions in violation of this Policy but reserves the right to enforce compliance and take appropriate action.
