Acceptable Use Policy (AUP)
Scope and Purpose
This Acceptable Use Policy ("Policy") sets forth the rules and guidelines governing the use of Nuworks Ltd trading as “BrokerCentral” services, platforms, and products (collectively, the "Services"). By accessing or using the Services, you acknowledge that you have read, understood, and agree to comply with this Policy, our Terms of Service, and all applicable laws and regulations.
Failure to adhere to this Policy may result in immediate suspension or termination of access to the Services, and may subject you to legal liability.
General Restrictions
You may not use the Services in any way that
- Disrupts, disables, or overburdens the Services, impairing their availability or accessibility for other users.
- Attempts to bypass security measures implemented to protect the Services.
- Accesses data, systems, or accounts you are not authorised to use within the Services.
- Engages in deceptive, misleading, or fraudulent activity using the Services.
- Violates any applicable laws, regulations, or contractual agreements.
Prohibited Activities
The following activities are strictly prohibited
Illegal Activities
- Engaging in fraud, phishing, or any activities that violate intellectual property laws (e.g., copyright infringement, trademark violations).
- Conducting or facilitating illegal financial transactions, money laundering, or unlicensed financial services.
Harmful Content
- Posting, distributing, or transmitting content that is obscene, defamatory, discriminatory, hateful, or that advocates violence.
- Promoting self-harm, suicide, or extreme content that may endanger individuals.
- Using AI-generated content to mislead, impersonate, or deceive others, including deepfakes, synthetic media, or AI-assisted fraud
Child Exploitation
- Creating, distributing, or promoting content that exploits or harms children.
Data Harvesting, Tracking Technologies & Unsolicited Communications
- Collecting, scraping, harvesting, monitoring, or tracking Personal Data or user activity unlawfully or without appropriate authority, transparency, or consent where required under applicable law.
- Sending spam, bulk advertisements, unlawful electronic marketing communications, or unsolicited electronic communications in breach of applicable law or PECR.
Malware & Security Violations
- Uploading or transmitting viruses, malware, or harmful code.
- Attempting to hack, disrupt, or interfere with the Services or other users’ accounts.
- Conducting vulnerability scanning, penetration testing, security testing, denial-of-service activity, or other security assessments against the Services without BrokerCentral’s prior written authorisation.
Impersonation & Deception
- Falsely representing an identity, affiliation, or business to mislead others.
- The use of bots, automated scripts, web crawlers, telemetry extraction tools, tracking technologies, or automated collection mechanisms is prohibited unless explicitly authorised by BrokerCentral for legitimate business, security, operational, integration, or research purposes. Unauthorised scraping, monitoring, profiling, telemetry extraction, behavioural tracking, or mass extraction of data is strictly prohibited.
AI Misuse and Automated Decision-Making Restrictions
You must not use the Services, AI Functionality, or any AI-assisted outputs to:
- conduct unlawful automated decision-making or profiling activities in breach of applicable laws or regulatory requirements;
- make solely automated decisions that produce legal effects concerning individuals, or similarly significant effects, without appropriate human review or oversight where required by applicable law;
- generate, infer, analyse, or process sensitive characteristics, Special Category Data, or behavioural profiles unlawfully or without appropriate authority;
- create, distribute, or rely upon AI-generated outputs that are discriminatory, deceptive, defamatory, harmful, misleading, manipulative, or unlawful;
- impersonate individuals, organisations, regulators, insurers, brokers, customers, or third parties using synthetic content, AI-generated identities, or automated communications;
- use AI Functionality to circumvent compliance obligations, fraud controls, underwriting controls, sanctions requirements, audit controls, security protections, or regulatory safeguards;
- use AI-generated outputs as the sole basis for regulated insurance, financial, employment, credit, fraud, or risk decisions where meaningful human oversight is reasonably required;
- conduct unauthorised behavioural monitoring, surveillance, scraping, or profiling of individuals through the Services; or
- use the Services in any manner that could reasonably create material legal, regulatory, ethical, discrimination, cybersecurity, or reputational risk arising from AI-assisted or automated processing activities.
Gambling, Cryptocurrency & Fraudulent Schemes
- Conducting or promoting gambling, pyramid schemes, multi-level marketing (MLM), or cryptocurrency offerings that are fraudulent or non-compliant with regulations.
Trade Compliance & Sanctions
BrokerCentral complies with applicable UK, US, EU, United Nations, and other applicable sanctions, export control, and trade compliance laws and regulations, and prohibits use of the Services in violation of such laws or regulations.
Restricted Regions
Users must not access, use, make available, export, re-export, supply, or otherwise provide the Services in or from any country, territory, or region that is subject to comprehensive sanctions, embargoes, or trade restrictions under applicable sanctions laws. This includes, without limitation, any country, territory, or region subject to comprehensive sanctions or embargoes administered or enforced by the United Kingdom, United States, European Union, United Nations, or any other applicable sanctions authority, and any other comprehensively sanctioned territory or region under applicable sanctions laws. BrokerCentral may suspend, restrict, or terminate access to the Services where it reasonably believes that continued access or use may breach applicable sanctions, export control, trade compliance, or restricted territory requirements.
Restricted Parties & Entities
By using the Services, you represent and warrant that
- You are not designated on any restricted party lists, including:
- UK HM Treasury’s Sanctions List
- US OFAC Specially Designated Nationals (SDN) List
- EU Consolidated Sanctions List
- You will not provide access to the Services to any sanctioned individual or entity.
Users must conduct due diligence when engaging in business activities through the Services to ensure compliance with applicable sanctions laws. BrokerCentral assumes no liability for unauthorised use by sanctioned individuals unless directly facilitated by BrokerCentral.
Enforcement & Termination
BrokerCentral reserves the right to immediately suspend or terminate any account that violates trade compliance regulations, without prior notice.
BrokerCentral may suspend, restrict, or terminate access to the Services immediately and without liability where it reasonably believes continued provision of the Services may expose BrokerCentral, its Affiliates, subcontractors, infrastructure providers, payment providers, or business partners to sanctions, export control, legal, regulatory, or reputational risk.
Prohibited Content
You may not use the Services to
- Upload or share content that infringes on third-party intellectual property, privacy, or confidentiality rights.
- Distribute or promote pornographic or illicit materials.
- Post content that violates local, national, or international laws.
- Submit content that has been subject to legal proceedings or takedown requests.
Monitoring & Enforcement
BrokerCentral does not routinely monitor content, but reserves the right to:
- Investigate suspected violations of this Policy.
- Remove or restrict access to any content deemed unlawful or harmful.
- Suspend or terminate user accounts for serious or repeated violations.
- Report unlawful activities to law enforcement authorities.
Customer and Authorised User Responsibilities
You are responsible for ensuring that
- Your use of the Services complies with all applicable laws and this Policy.
- Your actions do not harm the platform or other users.
- You do not engage in security threats or data breaches affecting the platform.
- In accordance with the Data Processing Agreement (DPA), you are responsible for any data breaches or misuse resulting from your actions.
- Users must implement reasonable security measures to protect their accounts, including using strong passwords and enabling multi-factor authentication (MFA) where available. Users are responsible for security breaches caused by inadequate security controls.
- Users must promptly report any suspected security incidents, unauthorised access, or breaches of this Policy to BrokerCentral. Failure to report known violations may result in account suspension or termination.
- Users must not deploy, configure, or use cookies, similar tracking technologies, electronic communications functionality, analytics technologies, or marketing tools through or in connection with their use of the Services in a manner that breaches applicable law, PECR, or Customer transparency and consent obligations.
Data Privacy and Protection
The Customer must use the Services in compliance with all applicable Data Protection Laws, PECR, and applicable laws relating to privacy, confidentiality, security of Personal Data, Tracking Technologies, electronic communications, artificial intelligence, consumer protection, discrimination, insurance, and financial services regulation.
Without limitation, the Customer must not
- process Personal Data unlawfully or without an appropriate lawful basis;
- use the Services in a manner that breaches PECR, applicable electronic communications laws, or requirements relating to cookies, similar tracking technologies, consent, electronic marketing, or similar technologies;
- upload, process, disclose, or transmit Personal Data in breach of applicable Data Protection Laws;
- use AI Functionality or automated processing in a manner that is unlawful, discriminatory, deceptive, harmful, or misleading;
- conduct unlawful profiling, behavioural analysis, or automated decision-making activities through the Services;
- process Special Category Data unlawfully or without appropriate safeguards;
- deploy cookies, similar tracking technologies, analytics technologies, pixels, scripts, or similar technologies through the Services without appropriate transparency, lawful basis, or consent where required under applicable law;
- interfere with, circumvent, or undermine security, privacy, consent, audit, or compliance controls within the Services; or
- use the Services in any manner that could reasonably expose BrokerCentral, its Customers, users, partners, or third-party providers to legal, regulatory, security, or reputational risk.
The Customer remains solely responsible for
- the legality, accuracy, quality, and lawfulness of Customer Data;
- ensuring that appropriate notices, consents, permissions, and lawful bases exist for processing activities carried out through the Services; and
- ensuring that meaningful human oversight is applied where legally or operationally required in connection with AI-assisted or automated processing activities.
Policy Violations & Enforcement Actions
Violations of this Policy are categorised based on severity and may result in enforcement actions, including content removal, warnings, suspension, or termination of access.
Violation Categories
- Critical Violations (Immediate Termination) – Actions that result in immediate termination of access, including but not limited to:
- Hacking or unauthorised system intrusion
- Fraud or identity theft
- Child exploitation or abuse-related content
- Violations of trade compliance laws
- Major Violations (Suspension, Review, or Termination) – Actions that may result in service suspension, account review, or termination, including:
- Repeated instances of spam or unsolicited communications
- Security violations or deliberate circumvention of platform safeguards
- Unauthorised access to data, systems, or accounts
- Minor Violations (Warnings or Temporary Restrictions) – Actions that may result in a warning or temporary restriction, such as:
- Sending excessive bulk messages that disrupt normal use
- Accidental or first-time policy breaches without malicious intent
Enforcement Actions
Depending on the severity of the violation, the following enforcement measures may be applied:
- Content Removal – Deletion of non-compliant or prohibited content.
- Formal Warning – Notification of the violation with corrective guidance.
- Temporary Suspension – Temporary restriction of access to Services.
- Permanent Termination – Revocation of access for severe or repeated breaches.
The Provider reserves the right to take appropriate action at its sole discretion based on the nature and impact of the violation.
Policy Updates
BrokerCentral reserves the right to update or modify this Policy at any time. Updates will be posted on our website, and continued use of the Services after such updates constitutes acceptance of the revised Policy.
Termination
We may terminate or suspend access to the Services at any time, with or without cause, for:
- Violations of this Policy.
- Compliance with legal obligations or law enforcement requests.
- Security threats or fraudulent activity.
Compliance with Laws
You must comply with all applicable local, national, and international laws when using the Services, including:
- Anti-spam laws
- Data protection regulations
- Intellectual property rights

BrokerCentral is not responsible for user actions in violation of this Policy but reserves the right to enforce compliance and take appropriate action.
